Terms of Use

These terms govern your use of Modus, operated by Clarity Invest Pty Ltd (ABN 17 672 145 596) ("Modus", "we", "us"). By creating an account or using the app, you agree to these terms.

Who can use Modus

Modus is designed for adult users (18+). Children are not intended users and should not create accounts. A child's details may be recorded in a space only because an adult user has entered them as the subject of parenting communication.

Your account

You must provide accurate information, keep your login credentials secure, and are responsible for activity under your account. Spaces are limited to two authorised adult members, joined by a single-use invite link.

The record is permanent

Sent messages cannot be edited or deleted by either party. All messages are timestamped with server time and stored with an audit trail. By using the app you accept that everything you send becomes part of a durable, verifiable record that the other member of your space can export.

Acceptable use

Modus must be used for child-related and logistics communication between the two members of a space. You must not use Modus to threaten, harass, intimidate, abuse, stalk, coerce or humiliate another person, or to unlawfully contact someone. You must not upload unlawful content, sexually exploitative content, child abuse material, non-consensual intimate material, malicious files, or content that violates another person's rights or safety. Where your communication with the other party is subject to a court order, intervention order or safety notice, you remain responsible for understanding and complying with it — Modus does not authorise communication that is otherwise unlawful.

Content can be reported and safety concerns are reviewed — see Report a Safety Concern. Reporting does not delete or alter the underlying record. The app can warn about, flag, or label messages based on your configured communication rules; misusing this to intimidate the other party is a breach of these terms.

Not legal advice

Modus is not a law firm, court, police service, counselling service or emergency service. It records user-entered legal context and flags possible or likely rule breaches based on rules you configure, but it does not provide legal advice and does not make legal findings. Whether a court order has been breached is a matter for a court. If you are in immediate danger, contact emergency services.

Ownership of content and licence to us

You retain ownership of the messages and content you send. By sending content through Modus, you grant us a licence to store, process, host, back up and display that content, and to include it in exports, solely to provide the service to the two authorised members of your space.

Enforcement and suspension

We may warn, restrict or suspend an account that breaches these terms or poses a safety risk, and we may retain records of the breach. Where reasonably possible, we will notify you before restricting or suspending your account and explain why.

Fees and subscriptions

A communication space requires an active subscription to send messages. Either member of a space may pay for it — the subscription covers the space, not an individual member — and either member may take over billing from the other at any time. Subscriptions are auto-renewing and are purchased and billed through the Apple App Store or Google Play, whichever store you install Modus from; the price is shown in-app before you buy. Purchases, renewals, cancellations and refunds are handled by, and subject to the policies of, that store — Modus does not process payments directly and cannot itself issue a refund. Cancelling a subscription does not end access immediately: the space keeps its current features until the end of the billing period already paid for. See Pricing for current plans.

Intellectual property

The Modus name, logo, software and website (excluding your own content) are owned by or licensed to Clarity Invest Pty Ltd. You may not copy, reverse-engineer or reuse them without permission.

Disclaimers and liability

Modus is provided on an "as is" and "as available" basis. We do not guarantee the service will be uninterrupted or error-free, and we do not guarantee that it will prevent conflict, harm or breaches of any order. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law. To the extent permitted by law, our liability for any other loss arising from your use of Modus is limited to resupplying the service or the amount you paid us in the twelve months before the claim arose.

Termination

You may stop using Modus and request account deactivation or deletion at any time — see Account Deletion Request. We may suspend or close your account for a material breach of these terms. Ending your account does not necessarily delete the shared communication record — see the Data Retention Policy.

Governing law

These terms are governed by the laws of Australia, and the parties submit to the non-exclusive jurisdiction of its courts.

Changes to these terms

We may update these terms from time to time. Material changes will be notified in the app or by email before they take effect. Continued use after changes take effect means you accept the updated terms.
